This is a group proceeding (class action) brought on behalf of investors who acquired an interest in WiseTech Global Limited shares or equity swaps in respect of WiseTech shares between 21 August 2019 and 27 May 2020 (inclusive).
On 21 August 2019, WiseTech made statements to the market of investors and potential investors as to the expected future financial performance of the company for FY2020.
On 19 February 2020, WiseTech revised that information, downgrading its expected earnings for FY2020 from between $145 million - $153 million to between $114 million - $132 million. It also downgraded its expected revenue from between $440 million - $460 million to between $420 million - $450 million. Following the release of the revised guidance, WiseTech’s share price declined.
The class action alleges that WiseTech breached various statutory provisions by making misleading or deceptive representations and failed to comply with its continuous disclosure obligations in relation to the information it provided and/or failed to provide to investors about its expected future earnings and contingent consideration liabilities.
It is claimed that WiseTech’s share price was inflated by its disclosure failures and, as a result, group members suffered loss and damage by paying more for shares than they ought to have paid due to WiseTech’s conduct. The class action also alleges that some group members would not have purchased shares in WiseTech had the alleged wrongdoing not occurred.
If you are, or you think that you may be a group member, you should read the documents below carefully. The definition of a "group member" is set out in the Notice.
The Notice (a copy of which is below) contains important information about your rights to:
(1) register your claim in the proceeding;
(2) opt out of the proceeding; or
(3) do nothing.
In summary, if you fall within the definition of a group member, you have three options:
OPTION 1- REGISTER
If you wish to participate in any settlement reached by the parties at any point up until two weeks before the initial trial, you must register your claim in accordance with the Notice by 4:00pm (AEST) on 3 July 2026.
To register, you must either:
- complete the online registration form with Phi Finney McDonald; or
- complete the registration form found at Schedule 1 of the Notice and return via email or post to the address on the notice for Phi Finney McDonald.

OPTION 2 - OPT OUT
If you do not want your rights determined by the class action you must opt out by 4:00pm (AEST) on 3 July 2026.
To opt out, you must either:
- complete the online opt out form; or
- complete the opt out form found at Schedule 2 of the Notice and return via email or post to the address on the notice for the Registry of the Supreme Court of Victoria.

OPTION 3 - DO NOTHING
If you do nothing in response to the Notice, you will remain a Group Member, but if a settlement is reached at any point up until two weeks before the commencement of the initial trial, then subject to any further order of the Court, you will not be permitted to participate in that settlement, and your right to claim against WiseTech in relation to the matters raised in the Class Action may be extinguished.
